To dissolve a Non-Governmental Organization in Kenya Make formal application addressed to the Executive Director seeking for consent, signed by the three registered top officials of the Organization should be made. Procedure to dissolve a Non-Governmental Organization
- A non-governmental organization (NGO) is a non-profit, voluntary citizens’ group that is organized on a local, national or international level.
- All NGO’s must be registered by NGO Coordination Board in accordance with the NGO coordination Act.
Apply In-Person to dissolve a Non-Governmental Organization
- The Board of directors of a NGO should carry out a meeting and take minutes on having to dissolve the organisation.
- You are then supposed to make an advertised on the local dailies informing the general public of the intended dissolution .
- You should them make a formal application addressed to the Executive Director seeking for consent, signed by the three registered officials of the Organization.
- Submit the application together with all the required documents to the Non-Governmental Organizations Co-ordination Board offices. This documents include:
(a). Minutes of the meeting proposing the dissolution .
(b). A copy of the minutes authorizing the dissolution of the organization.
(c). Copy of an advertisement informing the general public of the intended dissolution.
(d). Documentary evidence that all employees have received their terminal dues.
(e). Inventory of all assets of the NGO and an outline a plan for transferring the said assets to an organization with similar objectives.
(f). Annual Returns that the organization has been submitting.
(g). Original certificate of registration (Which you should surrender) - You should then proceed to pay the processing fees and summit the receipt to the Non-Governmental Organizations Co-ordination Board offices. A Processing fee of Kes. 2000/= is charged for this application.

- Registered Non-governmental organisations in Kenya are eligible to make an application to dissolve itself.

- The validity of the dissolution is forever.

- Dissolution, or the closing of an Non-Governmental Organization might be as result of:
- involuntary reasons (e.g., an external shutdown is required, usually initiated through the attorney generals office
- voluntary reasons (e.g., mission has been achieved, a financial crisis has taken place, board and staff have exhausted their energy and ideas, or internal interpersonal disputes have overtaken an organization).

- The Non-Governmental Organizations Co-ordination Board is a State Corporation established by the Non-Governmental Organizations Co-ordination Act (Cap 19) of 1990. The Board has the responsibility of regulating and enabling the NGO sector in Kenya.
- The Board is currently under the Ministry of Interior and Coordination of National Government.
- All NGO applications should be typed or filled in block letters.
- All applications MUST contain ORIGINAL signatures of the officials and members as applicable.
